Welcome to Mextalki.
These Terms and Conditions ("Terms") govern your access to and use of the Mextalki website, mobile applications, educational content, subscriptions, courses, podcasts, Conversation Club sessions, one-on-one lessons, and all related products and services (collectively, the "Services").
The Services are operated by Diego Iván Méndez, doing business as Mextalki ("Mextalki," "we," "our," or "us").
By accessing, creating an account, purchasing a product, subscribing to a plan, or otherwise using the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.
The Services are intended for individuals who are at least 18 years old or who use the Services under the supervision and responsibility of a parent or legal guardian where permitted by applicable law.
By using the Services, you represent that you satisfy these eligibility requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, complete, and current information when creating your account and to keep that information updated.
You may not impersonate another person or create an account using false information.
You are responsible for promptly notifying us if you believe your account has been accessed without authorization.
Account Sharing. Unless expressly permitted by Mextalki, subscriptions and user accounts are personal to the registered user and may not be shared, transferred, resold, or made available to multiple individuals. We reserve the right to suspend or terminate accounts that are used in violation of this policy.
Subject to these Terms, Mextalki grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes.
Nothing in these Terms transfers ownership of any intellectual property to you.

The availability of specific Services may vary over time. We reserve the right to modify, replace, discontinue, or introduce Services at our discretion.
Mextalki provides educational resources designed to support language learning.
Although we strive to provide high-quality educational content, we do not guarantee that any user will achieve a particular level of language proficiency, examination result, employment opportunity, or other educational outcome.
Individual learning results depend on many factors, including study habits, participation, prior knowledge, and individual circumstances.
We may modify, improve, suspend, or discontinue any part of the Services from time to time.
Where reasonably practicable, we will provide advance notice of material changes that significantly affect active subscriptions.
Changes to subscription pricing will not affect an active subscription until its next renewal. Users will be notified of any applicable price changes in accordance with the requirements of the relevant payment platform, including the Apple App Store and Google Play where applicable.
Mextalki offers both recurring subscriptions and one-time purchases.
Recurring subscriptions provide ongoing access to premium features and benefits associated with the selected subscription plan.
One-time purchases include products and services such as individual lessons, Conversation Club sessions or credits, and other educational services that may be offered from time to time.
Available payment methods depend on the platform through which the purchase is made.
Mextalki currently offers multiple subscription plans with varying features and pricing. Subscription benefits are described within the applicable purchase screen at the time of purchase.
Subscription pricing, included features, billing periods, and availability may change over time. Such changes will not affect an active subscription until its next renewal.
Unless cancelled before the end of the current billing period, subscriptions automatically renew for successive periods equal to the original subscription term.
The applicable payment method will be charged at the beginning of each renewal period unless the subscription has been cancelled before renewal.
Users are responsible for reviewing their subscription status and cancelling prior to renewal if they do not wish to continue the subscription.
Subscriptions Purchased through the Apple App Store. Subscriptions purchased through the iOS application are processed by Apple using Apple's In-App Purchase system. Payments are charged to the user's Apple ID account upon confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Users may manage or cancel their subscriptions through their Apple ID account settings after purchase.
Subscriptions Purchased through the Mextalki Website. Subscriptions purchased directly through the Mextalki website are processed through Stripe or PayPal, depending on the payment method selected by the user. Website subscriptions remain subject to these Terms and the applicable payment processor's terms and conditions.
Individual lessons, Conversation Club sessions or credits, and other one-time educational services are not subscriptions.
These purchases are billed separately and do not automatically renew unless expressly stated at the time of purchase.
Depending on the platform, one-time purchases may be processed through Stripe, PayPal, Apple In-App Purchase, or another authorized payment provider.
Website Purchases. For purchases made directly through the Mextalki website using Stripe or PayPal, users may request:
Approved refunds will be issued to the original payment method.
Apple App Store Purchases. Subscriptions purchased through the Apple App Store are processed by Apple. Refund requests for those purchases must be submitted directly to Apple through its applicable refund process. Mextalki cannot independently issue refunds for Apple In-App Purchase transactions. If Apple approves a refund request, Mextalki will honor its refund policy to the fullest extent permitted by Apple's payment systems and applicable policies.
If a payment cannot be successfully processed, Mextalki may suspend or limit access to the affected paid Services until payment has been successfully completed.
We reserve the right to retry failed subscription payments where permitted by the applicable payment platform.
From time to time, Mextalki may offer discounts, promotional pricing, free trials, coupons, referral programs, or other promotional offers.

Prices displayed by Mextalki may or may not include applicable taxes depending on the user's location, platform, and applicable law.
Where required, taxes will be calculated and displayed during the checkout process.
All content made available through the Services, including but not limited to courses, podcasts, videos, lesson materials, transcripts, articles, images, graphics, logos, trademarks, software, source code, text, audio recordings, educational exercises, quizzes, vocabulary lists, and other materials (collectively, the "Content"), is owned by or licensed to Mextalki and is protected by applicable intellectual property laws.
Your subscription or purchase grants you a limited license to access and use the Content for your personal, non-commercial educational purposes only. It does not transfer ownership of any intellectual property rights.
Except where expressly authorized by Mextalki in writing, you may not:
Certain features of the Services may allow users to submit comments, reviews, profile information, messages, or other content ("User Content").
You retain ownership of any User Content you submit.
However, by submitting User Content through the Services, you grant Mextalki a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, and distribute that content solely for the purpose of operating, improving, promoting, and providing the Services.
You represent that you have the necessary rights to submit your User Content and that doing so does not violate the rights of any third party.
We strive to provide reliable access to the Services but do not guarantee that the Services will always be available, uninterrupted, error-free, or free from security vulnerabilities.
From time to time, the Services may be unavailable due to:
We will make reasonable efforts to restore normal operation as quickly as practicable.
Mextalki shall not be liable for delays or failures in performing its obligations where such delays or failures result from events beyond our reasonable control, including but not limited to natural disasters, earthquakes, fires, floods, pandemics, government actions, internet outages, cyberattacks, labor disputes, acts of war, or failures of third-party service providers.
We may suspend, restrict, or terminate your access to the Services, with or without prior notice, if we reasonably believe that you have:

To the maximum extent permitted by applicable law, the Services and all Content are provided on an "as is" and "as available" basis.
Mextalki makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.
Nothing in these Terms limits any non-waivable consumer rights that may apply under applicable law.
To the fullest extent permitted by applicable law, Mextalki and Diego Iván Méndez shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Services.
Our total liability arising out of or relating to the Services shall not exceed the total amount paid by you to Mextalki during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law.
You agree to indemnify, defend, and hold harmless Diego Iván Méndez, doing business as Mextalki, and its instructors, employees, contractors, affiliates, and service providers from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of:
These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of Mexico, without regard to its conflict of laws principles.
Unless otherwise required by applicable consumer protection laws, the courts located in Mexico City, Mexico, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
For users who download the Mextalki iOS application through the Apple App Store, use of the application is also subject to Apple's Standard End User License Agreement ("Apple Standard EULA"), which is incorporated by reference into these Terms to the extent required by Apple.
In the event of any conflict between these Terms and the Apple Standard EULA regarding matters governed by Apple's requirements, the Apple Standard EULA shall control solely to the extent necessary to comply with Apple's policies.
If you access the Services through the Apple App Store:
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
Mextalki may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, or similar business transaction.
Failure by Mextalki to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
Any waiver must be made expressly in writing.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
Any invalid provision shall be interpreted, where possible, in a manner that most closely reflects its original intent while remaining legally enforceable.
These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Mextalki regarding the Services and supersede any prior agreements or understandings relating to the same subject matter.
By creating an account, purchasing a product, subscribing to a plan, clicking an "Accept," "Continue," "Purchase," or similar button, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

Except for the limited rights expressly granted under these Terms, Mextalki reserves all rights, title, and interest in and to the Services and the Content. No rights or licenses are granted by implication, estoppel, or otherwise.
We welcome suggestions, ideas, comments, reviews, feature requests, and other feedback regarding the Services ("Feedback").
If you voluntarily provide Feedback, you grant Mextalki a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, implement, publish, and otherwise exploit that Feedback without compensation or attribution to you.
Nothing in this section requires Mextalki to use any Feedback provided by users.

Certain features, pricing, payment methods, or subscription options may differ between the Mextalki website, the Apple App Store, Google Play, or other platforms due to technical limitations, platform policies, legal requirements, or business considerations.
Such differences do not constitute a breach of these Terms.
We may update these Terms from time to time to reflect changes in our Services, business practices, or applicable laws.
The updated version will become effective when published unless a different effective date is stated.
Where required by applicable law, or where changes materially affect users' rights, we will provide appropriate notice before the updated Terms become effective.
Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
Headings are provided for convenience only and do not affect the interpretation of these Terms.
Words such as "including" and "includes" shall be interpreted as meaning "including without limitation."
